  • Work hand-in-hand with board of directors, attorneys and/or accountants on merger execution issues (e.g. SEC and proxy filings, shareholder meetings and approvals, etc.)
  • Arrange meetings with sell-side analysts to create awareness among potential strategics; conduct follow-up and provide feedback
  • Prepare merger Q&A, FAQs and presentation documents
  • If merging into a public company, assist with messaging and script development for roadshow and shareholder meeting
  • Handle incoming investor and media inquiries

IPO Advisory

Pre IPO-Advisory

  • Assist in the selection of investment banking team by providing insight on sell-side coverage and ratings, reputation of investor conferences and financial transaction history
  • Prepare management for the Analyst Teach-In session
  • Coordinate messaging for IPO organizational meeting and subsequent S-1 drafting sessions
  • Advise on press releases announcing registration, pricing, and completion of over-allotment for offering
